Terms Governing the Use of and Access to LawHub

General Terms

By accessing and using LawHub.org (“LawHub”), each user (individually, a “User” and, collectively, the “Users”) agrees to be bound by the Terms and Conditions of LawHub (collectively, the “Terms”) that include LSAC’s Privacy Notice (“Privacy Notice”) and any other related LSAC policies, notices, or procedures (the Privacy Notice and all other related LSAC policies and procedures shall be referred to, collectively, as the “Policies”). If the User does not agree to the Policies, the User is not permitted to access or use, and agrees not to access or use, the Website. If the User uses any product or services available on LawHub, the User agrees to adhere to and abide by the terms of the Policies and understands and agrees that LSAC may require the User to agree to additional terms specific to those products and services on LawHub.

At its sole discretion and at any time, LSAC reserves the right to change, alter, revise, amend, or modify the Policies without any prior notice to Users of LawHub. Any use of LawHub following any change, alteration, revision, amendment, or modification to the Policies shall constitute acceptance of the revised Policies by the User.

At its sole discretion and at any time and without prior notice to the User, LSAC may terminate, change, modify, suspend, or discontinue LawHub or any product or services of LawHub, including the availability of any features of LawHub. LSAC may also impose limitations on certain features of LawHub and/or products and/or services without any prior notice or liability to the User.

By agreeing to these Terms, the User understands and acknowledges that the entire contents of the Official LSAT Prep and/or LawHub Advantage subscription, both the content that is visible to the User and the software supporting it, are copyrighted by LSAC. Unauthorized reproduction or distribution of any contents accessible via the User’s Official LSAT Prep and/or LawHub Advantage subscription are strictly prohibited. The subscription materials and contents may be used only for purpose of preparing for the LSAT and as explicitly stated in these Terms.

From time-to-time, LSAC may ask the User to verify the User’s payment or profile information in order to confirm the User’s eligibility for the LawHub subscription.

By agreeing to these Terms, the User consents to provide such confirmation at LSAC’s request.By agreeing to these Terms, the User understands and agrees that LSAC may use third-party software to determine the User’s location for purposes of verifying eligibility for the LawHub subscription.

By agreeing to these Terms, the User understands and agrees that LSAC reserves the right to change the price, length, content or other terms of the LawHub Advantage subscription at any time; provided, however, any changes will not apply to the User’s active subscription for LawHub Advantage. Features and content delivered through the LawHub Advantage subscription are subject to change at any time and are not guaranteed. LSAC is not obligated to provide notice of changes to the User but will do our best to communicate changes through the LawHub help page.

The LawHub Terms and Conditions shall incorporate by reference the LSAC Terms & Conditions of Use  (opens in new browser window) and the LSAC Terms & Conditions of Use  (opens in new browser window) shall be made a part of the LawHub Terms and Conditions. In the event of any conflict between these Terms and the LSAC Terms & Conditions of Use  (opens in new browser window) , these Terms shall apply.

Self-Managed Account

The User is responsible for maintaining the confidentiality of the User’s account on LawHub and is fully responsible for all activities that occur under the User’s account on LawHub. The User agrees to (a) immediately notify LSAC of any unauthorized use of the User’s account on LawHub or any other breach of security, (b) ensure that the User exits from the User’s account on LawHub at the end of each session, (c) provide true, accurate, current, and complete information about the User when registering to use LawHub (the “User Data”), and (d) maintain and promptly update the User Data to keep it true, accurate, current, and complete. If the User provides any User Data that is untrue, inaccurate, not current, or incomplete, or LSAC has reasonable grounds to suspect that such User Data is untrue, inaccurate, not current, or incomplete, LSAC has the right to suspend or terminate the User’s LawHub account as provided herein. LSAC cannot and will not be liable for any loss or damages arising from the User’s failure to provide accurate information (including User Data) or to keep the User’s password secure. The User may be responsible for harm or losses incurred by LSAC due to the unauthorized use of the User’s account on LawHub as a result of the User failing to keep the User’s account information secure and confidential. The User may not use any other user’s account on LawHub. LSAC CANNOT AND WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM ANY USER’S FAILURE TO COMPLY WITH THESE OBLIGATIONS, AND THE USER AGREES TO INDEMNIFY AND HOLD HARMLESS LSAC FROM ANY LOSS, HARM, OR OBLIGATION ARISING OUT OF SUCH FAILURE.

By agreeing to these Terms, the User agrees that the User is the individual who registered for the LawHub account associated with the User’s subscription to LawHub. The name provided on the payment information form, if different from the name of the User inputted during registration for the LawHub account, does not have any rights to use the LawHub subscription.

At its sole discretion and at any time, LSAC may elect to provide trial access, complimentary subscriptions, or any other type of free or complimentary access to LawHub and applications (or any portions thereof) to any third party.

Official LSAT Prep Materials

By creating the User account on LawHub, the User will be provided a free subscription to the “Official LSAT Prep.” The content shared on LawHub as part of the User’s “Official LSAT Prep” subscription may only be used by the User for the purpose of preparing for the LSAT. LSAC reserves the right to terminate or suspend any User’s subscription to the “Official LSAT Prep” immediately at any time if the User does not adhere to or otherwise comply with these Terms. LSAC reserves the right to change the length, features, content or other terms of the Official LSAT Prep subscription at any time without notice. LSAC cannot guarantee the availability of the Official LSAT Prep subscription materials. Access to LawHub and products included on the LawHub platform and applications, or through the User’s account on LawHub, and any subscription materials may be unavailable for reasons including but not limited to maintenance, outages, and other matters beyond LSAC’s control. Scores on Official LSAT Prep and/or LawHub Advantage materials do not reflect, and cannot be used as a substitute for, official LSAT test scores.

Privacy Notice

The Privacy Notice explains how LSAC, collects, uses, discloses, and otherwise processes information when a User accesses LawHub. LSAC reserves the right to change the Privacy Policy at any time with or without notice to the User. Consent to Receipt of Notices

By creating an account on LawHub, the User consents to the delivery of any notices related to the User’s LawHub subscription to the e-mail address associated with the User’s account at the time such notice is sent.

Legal Disclaimer and Limited Warranty

LSAC warrants that LawHub will substantially perform its stated functions, when used in accordance with all given instructions and in compliance with LSAC policies, for so long as the User’s LawHub account remains active. LSAC does not represent or warrant that LawHub will meet the User’s requirements or operate free from error.

THE LAWHUB AND ITS PRODUCTS AND SERVICES ARE PROVIDED TO USERS ON AN “AS IS,” “AS AVAILABLE” BASIS. LSAC, LSAC’S LICENSORS AND/OR SERVICE PROVIDERS, AND THEIR RESPECTIVE AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS MAKE NO, AND HEREBY DISCLAIM ALL, REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO LAWHUB, SERVICES, PRODUCTS, CONTENTS, AND/OR THE POLICIES. LSAC DOES NOT REPRESENT OR WARRANT THAT: (A) OPERATION OF LAWHUB SHALL BE UNINTERRUPTED OR ERROR FREE, (B) FUNCTIONALITY CONTAINED IN LAWHUB SHALL MEET THE USER’S REQUIREMENTS, OR THAT (C) LAWHUB SHALL OPERATE IN COMBINATION WITH OTHER HARDWARE OR SOFTWARE.

TO THE FULLEST EXTENT PERMITTED UNDER ANY APPLICABLE LAW, LSAC HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY REPRESENTATIONS AND WARRANTIES REGARDING ACCURACY, TIMELINESS, COMPLETENESS, NONINFRINGEMENT, TITLE, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. LSAC ASSUMES NO RESPONSIBILITY OR LIABILITY WITH RESPECT TO THE CONSEQUENCES OF ANY ERRORS OR OMISSIONS IN CONNECTION WITH LAWHUB, SERVICES, PRODUCTS, CONTENTS, AND/OR POLICIES. IN NO EVENT SHALL LSAC BE LIABLE TO ANY USER OR THIRD PARTY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE USER’S USAGE AND/OR ACCESS OF LAWHUB, SERVICES, PRODUCTS, ANY OF THE CONTENT, AND/OR THE POLICIES.

IN NO EVENT WILL LSAC BE LIABLE TO THE USER OR ANY THIRD PARTY FOR SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, EVEN IF LSAC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL LSAC BE LIABLE TO THE USER OR ANY THIRD PARTY FOR ANY LOSS OF REVENUES, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF USE, OR LOSS OF DATA. IN NO EVENT SHALL LSAC, LSAC’S LICENSORS AND/OR SERVICE PROVIDERS, AND THEIR RESPECTIVE AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS BE LIABLE TO THE USER FOR ANY DAMAGES IN EXCESS OF THE FEES PAID BY THE USER IN CONNECTION WITH THE USER’S LAWHUB SUBSCRIPTION DURING THE SIX-MONTH PERIOD PRECEDING THE DATE ON WHICH THE CLAIM AROSE. SOME STATES DO NOT ALLOW THE LIMITATION AND/OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO THE USER.

Limited Remedies

If LawHub fails to perform as warranted, it is the User’s duty to notify LSAC of the problem immediately. Within a reasonable period of time, which shall be determined by LSAC based on the specific circumstances of the problem and LSAC’s business operations, LSAC shall, at its option, (I) correct any identified errors in LawHub affecting the User, or (II) refund some or all of any fees that have paid for the relevant service as described in the section of the Terms above titled “Legal Disclaimer and Limited Warranty.” This limited warranty is void if (a) the failure has resulted from accident, abuse, misapplication, or other act, error, or omission by the User; (b) the User has used or modified LawHub in any unauthorized manner; or (c) if more than 60 days have elapsed since the problem initially began occurring for the User.

Copyrights

The entire contents, services, and products set forth on LawHub, including but not limited to LawHub.org, LawSchoolTransparency.com, LegalCareerCompass.org, and LegalCareerCompass.com, both the content that is visible to end-users and the software supporting it; and the Official LSAT Prep and LawHub Advantage subscription, are copyrighted or otherwise protected by LSAC. Unauthorized reproduction of any such materials is strictly prohibited. Certain elements or applications on LawHub or through an LSAC.org / LawHub account (e.g., Legal Career Compass) may be the property of a third-party. Users of LawHub must treat any third-party property in the same manner as LSAC's own copyrighted material, and LSAC reserves the right to prosecute copyright infringements of any content found in or associated with LawHub.

The MPT item and point sheet (“NCBE Content”) provided in this are copyrighted by the National Conference of Bar Examiners (“NCBE”). You are permitted to view the NCBE Content for your personal and noncommercial use only. You are not permitted to copy, modify, reproduce, post, disclose, or distribute any of the NCBE Content in whole or in part. Any unauthorized use of the NCBE Content is a violation of NCBE’s rights and could subject you and others who are involved to criminal and civil penalties.

LSAC Content — Trademarks and Copyrights

LawHub is owned and operated by LSAC and contains materials and content that is protected by copyright, trademark, and trade secret laws of the United States and other countries, as well as any and all applicable laws, statutes, and regulations. The materials and content accessible via LawHub, including, but not limited to, text, names, data, compilations, graphics, logos, buttons, icons, images, audio, video, code, methods, techniques, models, and software (collectively, the “Contents”), are the property of LSAC and are protected by the applicable patent, copyright, trademark, and trade secret laws of the United States and other countries. Except as otherwise expressly permitted under the Policies, Users are prohibited from downloading copyrighted material and are explicitly prohibited from from modifying the Contents in any way and/or modifying or otherwise altering any copyright, trademark, and other proprietary notices on the Contents. The User may not copy, store (either in hard copy or in electronic format), transmit, transfer, perform, broadcast, publish, reproduce, create a derivative work from, display, distribute, sell, offer for sale, license, rent, lease, frame, deep link to, or otherwise use the Contents in any manner inconsistent with the rights of LSAC, including, but not limited to, any use of the Contents for any commercial purpose.

Indemnification

Each User of LawHub agrees to indemnify, save, defend, and hold LSAC and each of LSAC’s successors, assigns, and licensors (together with any of their respective officers, directors, and employees) harmless against any damages, losses, liabilities, judgments, costs, or expenses (including any attorneys’ fees and costs) arising out of claims by any third party relating to the User’s usage of LawHub, or any breach or violation of the Policies or any of these Terms.

Links to Third-Party Websites

LawHub includes links to third-party websites (including educational sites) that may be accessed by the User. The User may access these third-party websites, directly or indirectly, through LawHub. Upon access of such third-party website, the User may also be subject to the terms of use, legal notices, privacy policies and/or notices, and other policies of such third-party website. Links from LawHub to third-party websites are provided by LSAC to the User solely for the User’s convenience. The User understands and agrees that if the User elects to leave LawHub via a link to a third-party site, the content of that third-party site is not reviewed, provided, sponsored, or endorsed by LSAC, and LSAC has not reviewed, provided, or approved the terms of use or other policies governing such third-party websites. LSAC does not monitor and does not make any representation or warranty with respect to or assume any liability for any third-party website, including, without limitation, any products or services that are advertised or made available for purchase through such third-party website.

User Content and Communications

LawHub may allow Users to post, submit, or display information, messages, suggestions, questions, comments, postings, advertisements, ratings, ideas, techniques, notes, know-how, drawings, concepts, designs, audiovisual material, photographs and pictures (including pictures of the User and other representations of the User’s name and likeness), digital images, or other content in any form (collectively, the “User Content”). It is the User’s sole and exclusive responsibility to ensure that no portion of their User Content is illegal, obscene, profane, offensive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties, as well as to keep the User Content current and accurate.

By posting User Content on LawHub, the User hereby grants LSAC an unrestricted, transferable, sublicensable, irrevocable, royalty-free, worldwide, and perpetual license to reproduce, distribute, publicly display, make derivative works of, and otherwise use the User Content in any media whatsoever now known or later invented throughout the world for any purpose whatsoever, whether commercial or noncommercial in nature. The User hereby disclaims any right to any consideration from LSAC in connection with LSAC exercising its rights as a licensee in and to the User Content the User posted on LawHub. The User acknowledges and agrees that LSAC is under no obligation of confidence to the User and shall not be liable for any use or disclosure of any User Content within LSAC or to any third party. By posting the User Content on LawHub, the User represents and warrants that the User owns the necessary intellectual property rights in such User Content to post such User Content on LawHub or that the User has a valid license to post the User Content, including photographs or other audiovisual material, without any restrictions whatsoever. The User agrees to indemnify, save, defend, and hold LSAC and each of LSAC’s successors, assigns, or licensees (together with any of their respective officers, directors, and employees) harmless from all actual and incidental costs and fees associated with LSAC’s defense of any claims arising from User Content, including, but not limited to, all attorneys’ fees and related costs.

LSAC reserves the right to review any User Content and remove, delete, redact, or otherwise modify such User Content, at its sole discretion, at any time and from time to time, without notice or further obligation to the User. LSAC has no obligation to display, monitor, or post any User Content.

At any time and from time to time, LSAC reserves the right to disclose any information or User Content that LSAC deems necessary or appropriate to satisfy any applicable law, regulation, contractual obligation, or legal, dispute process, or governmental request. LSAC shall have no liability in connection with any User Content submitted to, transmitted via, or displayed or posted on LawHub.

Governing Law and Jurisdiction

The User understands and agrees that any claim, action, proceeding, or other legal action arising out of or related to LawHub, or the User’s use and/or access of LawHub, and/or the Policies shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to principles of conflict of laws. Any claim, actions, proceeding, or other legal action arising out of or related to LawHub and/or the Policies will be resolved exclusively in the state or federal courts located in Bucks County, Pennsylvania, and the User consents to the exclusive jurisdiction of and venue in such courts.

Waiver and Severability of Terms

The waiver of any provision of the Terms shall not be considered a waiver of any other provision or of LSAC’s right to require strict observance of each of the terms herein. If any provision of the Terms is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect.

Force Majeure

LSAC shall not be held liable for any delay or failure in performance of any part of LawHub or any of the content, services, or products on LawHub, for any reason of any cause beyond LSAC’s reasonable control, including acts of God, acts of civil or military authority, government regulations, embargoes, epidemics, pandemics, public health emergencies, war, terrorist acts, riots, fires, explosions, earthquakes, nuclear accidents, floods, hurricanes, tornadoes, major storms, strikes, power or telecommunications outages affecting facilities, or acts or omissions of vendors, suppliers, or common carriers.

Export Party Controls

When a User creates an online account with LawHub, LSAC will collect (or retrieve from LSAC’s existing records) the User’s account login credentials and name and contact information (including address). LSAC will also collect (or retrieve from LSAC’s existing records) additional types of Personal Information that vary depending upon the type of account the User creates, including but not limited to the company or institution the User is associated with, the User’s role with your company or institution, LSAC-issued identification number, date of birth, gender identity (including preferred pronouns), personal identification number provided by the User (or generated by LSAC if not provided by the User), communication and/or data sharing preferences, address, the User’s education history, and the User’s parents’ education history. LSAC may also collect some information that may be considered sensitive Personal Information under some laws, such as information about race, ethnicity, status as transgender or nonbinary, sexual orientation, and mental or physical health conditions or diagnoses (e.g., accessibility preferences). Some information that LSAC may ask the User to voluntarily provide, including sensitive Personal Information, is not required in order to create an LawHub account. At the time the User creates an LawHub account, LSAC will specify each type of Personal Information that LSAC will collect and whether the User is required to provide it to create an account. LSAC uses this information for purposes including but not limited to performing restricted party screening as needed to comply with United States export control laws.

The User agrees that User is not currently located in or ordinarily resident in a country subject to comprehensive sanctions by the U.S. government, currently Cuba, Iran, North Korea, Syria, and the Crimean, Luhansk, and Donetsk regions of Ukraine and that User is not currently identified on any U.S. government restricted party lists. Should User’s situation change, User agrees to notify LSAC immediately and LSAC reserves the right to restrict the User’s access to such goods services as may be provided in compliance with applicable export control and sanctions. The User also agrees that User will not release, export, or reexport any of these materials to any person located in or ordinarily resident in a country or region under comprehensive sanctions or listed on any U.S. government restricted party list.

As part of LSAC’s obligations to comply with United States export control laws, LSAC may disclose Personal Information to government agencies, offices, or appointees and to private consultants (e.g., legal consultants, restricted party screening service providers, etc.) for legal reasons (e.g., to prevent crime or fraud; assist investigations; comply with legal obligations, such as export control obligations; comply with a court orders or rules; protect and defend LSAC’s rights and property; protect the safety of our customers and/or the public; protect against legal liability; etc.).

Entire Agreement

These Terms, together with the other Policies referenced herein, constitute the entire agreement between the User and LSAC and govern the User’s use of LawHub, its services, products, content, information, and materials offered on LawHub, superseding any prior version of the Terms. The User may also be subject to additional terms and conditions that may apply when the User uses or purchases certain other services, affiliate services, or third-party services. In the event of any conflict between these Terms and the terms of any services, affiliate services, or third-party services, the applicable terms of such services, affiliate services, or third-party services shall control.

Termination

The Terms are effective unless and until terminated by LSAC, at any time and without notice to the User. In the event of termination, the User is no longer authorized to access LawHub and the restrictions imposed on the User with respect to material downloaded, service use, the disclaimers, and limitations of liabilities set forth in the Terms shall survive termination.
